CONSTITUTION

1. NAME

The club shall be called the “Land Rover Register of South Australia Inc”.

2. INTERPRETATION

Unless otherwise indicated:

(a) The word “Club” shall mean all financial members of the “Land Rover Register of South Australia Inc”.
(b) The word “Member” shall mean all financial members of the “Land Rover Register of South Australia Inc”.
(c) The term “Land Rover” shall mean any vehicle bearing the name “Land Rover” and made by the Rover Company, Land Rover Ltd, or associated subsidiary, and variations thereof.
(d) Words imparting the plural shall include the singular.

3. AIMS

The club is formed for the purpose of:

(a) To perpetuate the marque of Land Rover and to promote interest amongst Land Rover enthusiasts and owners.
(b) To hold regular meetings of members and their visitors and invited guests, to assist in (a).
(c) To arrange trips, concours events, field events, rallies for Land Rovers, procurement of parts, technical information and assistance, stimulate interest in the many and varied uses of and for Land Rovers.
(d) To cooperate and coexist with clubs having similar objectives.
(e) To engage in social and sporting activities in so far as they evolve from (b) and (c).

4. COLOURS

The Club colours shall be green and yellow.

5. MEMBERSHIP

(a) Any person who is either the owner or part owner of (1) a Land Rover or (2) Part of a Land Rover which shall consist of at least the chassis, currently in use or undergoing a rebuild or restoration may be considered, upon application and payment of the prescribed fees, by the committee for membership.
(b) Ordinary membership
Ordinary members shall be deemed to be: (1) family members, who shall have one vote per person for a maximum of two adults or (2), single members, who shall have one vote only.
(c) Associate membership
The committee may admit associate members, whereby each associate member shall be admitted for a term not exceeding twelve (12) months. Applicants for associate membership shall first satisfy the committee of their interest in, and/or intent to secure ownership of, a Land Rover as described in clause 5(a).

Associate members shall be bound by the same conditions and enjoy the same privileges of membership as full members (including single and family membership as in clause 5(b) except that Associate members shall not have any voting rights at any club meeting.
(d) Honorary membership
Honorary members may be admitted at the discretion of an annual general meeting.

6. ELECTION OF MEMBERS

(a) Application for membership shall be forwarded to the Membership Officer with the appropriate fee and shall be on a form or forms approved by the club and signed by the applicant. Such application shall be presented to the committee for membership approval by majority voting.
(b) When a new member has been admitted to the club the member shall receive a copy of this constitution and shall be entitled to privileges of membership and shall be deemed to have agreed to be bound by this constitution, club rules and bylaws.
(c) Application for renewal of membership shall be forwarded to the Membership Officer with the appropriate subscription as in clause 10(b), and shall be on a form or forms approved by the club and signed by the applicant.

7. RESIGNATIONS

(a) A member may resign their membership at any time in writing to the Club but shall not be entitled to any repayment of their subscription as a result of such resignation.
(b) A member whose subscription remains unpaid sixty days after due date of payment shall be deemed to have resigned.
(c) Upon cessation of membership there shall be no claim upon the club nor upon any of its property. Any member who resigns must return all club property in their possession or under their control to a Committee Member as directed by the committee.
(d) If a member disposes or, or relinquishes ownership of, all their Land Rover vehicles and/or part vehicles are described in Clause 5(a) then they shall be deemed to have resigned from the club as of December 31st in that same year as said disposal or relinquishment.

8. EXPULSION

(a) The Committee may expel or penalise any member whose conduct or actions it shall consider in its absolute discretion to be prejudicial to the wellbeing of the club. Any club property and rights or privileges will be forfeited as in clauses 7(a) and (c).
(b) Before any member is expelled or otherwise penalised, the conduct or actions shall be enquired into by the committee, the said member shall be given particulars of the charge in writing, with at least two (2) weeks notice, and the opportunity to defend their self without counsel and to justify or otherwise explain their conduct or action.
Provided that a quorum is established and the majority of the Committee present when the matter is enquired into are of the opinion that the member has been found guilty of such conduct or action as aforesaid, then the Committee may expel or suspend that member from membership or otherwise penalise them.
(c) Should any member fail to appear at any enquiry conducted under clause 8(b) hereof or any adjournment thereof, the committee may proceed in that members absence to conduct said enquiry and to make its findings as herein before empowered.

9. RIGHTS AND LIBERTIES

(a) Every member of the Club shall, subject to these rules, be entitled to take part in any of the activities of the club and to use all facilities provide by the club.
No member shall be reason of membership be under any financial liability expect for the payment of his annual subscription to the club.
(b) Competitions shall be run according to rules made by a sub-committee and the Safety Officer.
(c) An event organiser may restrict the attendance of any person or persons from an event or trip, but only after being granted prior permission by the committee.
(d) The Safety Officer may restrict the attendance of any person or persons from an event or trip if their vehicle is considered unsafe or unsuitable.

10. SUBSCRIPTIONS

(a) Each member shall pay an annual subscription, to be determined by the members at a General Meeting or the Annual General Meeting.
(b) Annual subscriptions shall be due and payable on or before the 1st January each year.

11. COMMITTEE

(a) The committee may consider all matters relating to the running and organisation of the club. The club shall not be bound by any decision made by the committee until passed by a majority vote at a general meeting, except where otherwise stated in this constitution. No member of the committee shall undertake any obligation on behalf of the club unless authorised to do so by the club and any member so authorised shall clearly indicate that said member is acting on behalf of the club in all dealings.
(b) The committee shall consist of: President, Honorary Secretary, Honorary Treasurer, and other positions as decided by either a General Meeting or Annual General Meeting, up to a maximum of twelve (12) committee members.
(c) Elected members shall hold office from the date of election until the AGM of 1992 at which time half of the present elected committee members shall be chosen by consensus or by lot to retire or seek re-election at the first Annual General Meeting following their election and thereafter the position of each elected Committee Member shall fall vacant on the completion of a term of two (2) years.
(d) Committee meeting and extra ordinary meetings shall be called by the Honorary Secretary from time to time as the club directs, or by requisition of any four (4) members of the committee. At least seven (7) days notice (in writing) of such meeting will be given to all committee members.
(e) The committee shall have the power to appoint a sub-committee to deal with special club affairs from time to time.
(f) A quorum for a committee meeting shall consist of at least fifty percent (50%) plus one (1) person.
(g) Each member of the Committee shall hold only one (1) position except under exceptional circumstances, such as a resignation from the Committee during a term of office, at which time a Committee member may hold a maximum of two (2) positions for a limit of three (3) months.

12. GENERAL MEETING

(a) A quorum for a General Meeting shall consist of four (4) committee members and at least one third or ten (10) of the ordinary Members which ever is the lesser.
(b) The President of the Club shall preside over all meetings, or in the President’s absence the members present shall elect a Committee Member to take the chair.
(c) A General Meeting of the club shall be held, monthly, at such place and at such time as may be decided by the Committee, provided the members are given due notice of such meeting as in Clause 13(c).

13. ANNUAL GENERAL MEETING

(a) The Annual General Meeting (AGM) will be held at the first meeting of each and every year to elect office bearers, to present the balance sheet and deal with any notice of motion.
(b) The financial year of the club shall close on the 31st day of December each and every year.
(c) One month’s notice will be given to all members prior to the AGM. The non receipt of such notice by any member shall not invalidate the proceedings at such meeting.
(d) Club balance sheets are to be audited prior to the AGM each and every year. The auditor is to be approved by a General Meeting.
(e) A quorum for the AGM will be as in Clause 12(a).

14. VOTING

(a) The chairperson of a meeting shall have a casting vote only.
(b) Voting at meetings shall be by show of hands except that:
1) Any contested election at the AGM or otherwise shall be by secret ballot.
2) A member may by show of hands require any other vote to be by secret ballot.
(c) Only financial, ordinary members shall be permitted to vote at a general meeting, special general meeting or AGM.

15. FINANCES

(a) All moneys received by or on behalf of the Club shall be paid into the Club’s bank account. All cheques, bills of exchange, withdrawal forms, drawn on the Club’s funds are to be signed by at least two (2) or three (3) signatories, one of whom shall be the Honorary Treasurer.
(b) All financial transactions on behalf of the Club shall be authorised by a General Meeting except as in Clause 15(c).
(c) The Committee may authorise Club expenditure for amounts approved by at least sixty percent (60%) of the Committee present, subject to funds being available.
(d) The income of the Land Rover Register from the conduct of lotteries or any other fund raising activities can only be applied toward the promotion of its objects and no member of the committee or other member is entitled to remuneration or benefit from such income. Any such lottery or fund raising activity must comply with the requirements, conditions and regulations of the South Australian Lottery and Gaming Act 1936 and 1971 or subsequent amendment thereof.

17. AMENDMENTS

(a) This constitution may be amended at an AGM or Special Meeting called for that purpose, provided that the amendment is accepted by at least two thirds (2/3) of the members present and voting at such meeting.
(b) A proposal of amendment of this constitution shall be given in writing and signed by at least five (5) members, at a General Meeting of the Club.
(c) A notice of proposed amendment and/or Special Meeting called for that purpose shall be given to all members as in Clause 13(c).

18. DISSOLUTION

The Club shall be dissolved only upon a unanimous vote of all members present and voting at a Special General Meeting convened to consider such action, Notice for said Special General Meeting shall be as in Clause 16(b) and 16(c).

19. WINDING UP AND DISPOSAL OF ASSETS

In the event of the Club being dissolved, as in Clause 176, the effects and property of the Club, after being realised and after the discharge of all liabilities shall be given to an Incorporated body with similar ideas as in Clause 3, or such registered charity as the majority of members present at the Special General Meeting may decide.
